Stella Unruh advises companies, funds, investors and executive management teams on domestic and cross-border mergers and acquisitions, strategic transactions, venture capital investments, and corporate governance matters. Her transactional experience includes public and private acquisitions and dispositions, stock and asset transactions, debt financings, corporate reorganizations, dividend recapitalizations, venture investments and related securities and securities reporting matters. She has advised on transactions valued at up to $4.7 billion across industries including technology, banking, pharmaceuticals, cannabis, cryptocurrency, energy, chemicals, manufacturing, transportation, consumer products, food and retail. Her experience includes managing local counsel in more than 50 countries in connection with the global reorganization of one of the largest privately held U.S. companies.

Stella served as Vice President and Associate General Counsel at TerrAscend Corp. There, she led the legal department’s mergers and acquisitions function and oversaw numerous acquisitions from structuring and negotiation through execution and post-closing integration across multiple U.S. jurisdictions and complex regulatory regimes. Stella also served as primary legal counsel to the company’s corporate headquarters and operating subsidiaries on a broad range of matters, including regulatory compliance, licensing applications and renewals, real estate leasing, commercial agreements, litigation management, employment matters, corporate organization and governance, board and shareholder matters, tax-structuring initiatives, and securities disclosure obligations and restrictions.

Earlier in her legal career, Stella practiced M&A at Skadden, Arps, Slate, Meagher & Flom LLP and Kirkland & Ellis LLP. She is also the founder of Elite Legal Professionals, LLC, through which she offers independent corporate legal services.
